TERMS & CONDITIONS
(for video and audio productions)
AGREEMENT – This agreement between Video Academy (hereafter “Video Academy”) and the undersigned customer (hereafter “Customer”) governs the assignment described in the accompanying cost estimate, and along with these Terms & Conditions, constitutes the entire agreement between the parties concerning that assignment.
ESTIMATES – The fees quotes by Video Academy are for the original job description as presented by the Customer. Any subsequent changes, whether made orally or in writing, may result in additional charges.
PAYMENT – Customer shall make payment within the period mentioned in this estimate on invoice presentation. Please make checks payable to “Video Academy”.
REVISIONS – Customers will have up to one hours of complimentary editing changes. Therefore, changes will be billed at BD150 per hour. Video Academy will present the Customer with estimated times to complete changes and not do any billable revision work without written approval from the Customer.
COPYRIGHTS – Once the full fees has been paid, Customer will have copyright ownership of the completed Video except for any stock elements, images or video footage which shall follow the rights assigned by their originator or specifically exclusively transferred to Customer in writing. Video Academy may use any parts of the completed Video for valid business promotion (e.g. demo tape, demo video for Video Academy website, captured stills for web or additional marketing etc). Full rights of the raw footage may be purchased for an additional fee of BD1,000 or 10% of the total project fee whichever is greater.
ADDITIONAL USAGE – If Customer wishes to make any additional uses of the video(s) not previously agreed in the initial agreement, Customer shall obtain permission from Video Academy and may be required to pay an additional fee.
CREATIVE CONTROL – Video Academy will work with the Customer to get feedback and input, but Video Academy retains creative control over the final Video.
DELIVERY DATE – A review copy of the Video will be easy within 45 days from the shoot date, provided the Customer has supplied Video Academy with all necessary material within a reasonable amount of time from Video Academy’s request. These include, but are not limited to photos, interview schedules, etc. Customer understands that any delay on Customer’s part to deliver needed materials for the Video, or to schedule time to record interview sessions, may affect the final delivery date.
CANCELLATIONS, POSTPONEMENTS – In the event of a cancellation or postponement of a shoot by the Customer, Customer shall pay all expenses incurred by Video Academy up to time of cancellation, plus a fee to be agreed upon. If a shoot is canceled within 24 hours of departure for the shoot, Customer shall also pay 50% of the anticipated director fee and 100% of the anticipated fee of any subcontractors booked for the job.
CUSTOMER REPRESENTATION – The Customer is responsible for the presence of an authorized representative at the shoot to approve Video Academy’s interpretation of the assignment. If a Customer representative is not present, Video Academy’s interpretation shall be deemed acceptable.
INDEMNIFICATION – Customer warrants that it has the full legal rights to any and all photographic, graphical elements, film, or video images supplied by the Customer to Video Academy for use in the video. Customer agrees to indemnify, defeat and hold Video Academy and its officers, directors, agents, employees, representatives, associates and affiliates and each of them, harmless from and against all losses, costs, damage, liability and expense, including reasonable attorneys’ fees, arising out of any claim whatsoever, directly or indirectly, from the use of copyright material supplied to Video Academy by the Customer.
LIABILITY – Video Academy cinematographers will perform their tasks to the best of their ability, but Video Academy accepts no responsibility for unforeseen circumstances including but not limited to equipment failure, power outages, inability to attend and perform services due to illness, and/or any other situation beyond Video Academy’s control. In the event that unforeseen circumstances occur, Video Academy Cinematographers will use best effort to provide similar services. Video Academy’s sole liability in any case shall be limited to a monetary amount no greater than the total of monies paid by the Customer.
REFUND – No refunds will be entertained by Video Academy.
EXPIRATION – Estimates are valid for 30 days unless signed by both parties.
